INDEPENDENT CONTRACTOR AGREEMENT
This independent contractor agreement (Agreement) is entered into this day of , 20, by and between 1Vision Security (Company), and , an independent contractor (Contractor), in consideration of the mutual promises made herein, as follows:
AGREEMENT
Now, therefore, for and in consideration of the premises and mutual promises, covenants and agreements hereinafter set forth, Company and Independent Contractor agree as follows:
1. Engagement: The company hereby engages the services of the Independent Contractor, and Independent Contractor agrees to provide the services described further herein.
2.Term of Agreement:
2.1 Term. The term of this Agreement will become effective on the day of , 20, and will continue for one year.(the Term), unless earlier terminated as provided herein, or unless extended by mutual agreement expressed in writing and signed by both parties prior to the expiration of the Term.
2.2 Termination. Notwithstanding anything in this Agreement to the contrary:
2.2.1 The term may be terminated by either party at any time without advance notice , upon a material breach by the other party of any of its or his obligations hereunder; and
2.2.2 The term may be terminated without cause by either party upon three (3) days written notice to the other.
3.0 Services to be Rendered by Contractor:
Contractor agrees to provide the following services: Independent Contractor will perform services regarding sales of Company products and services to potential customers. Notwithstanding anything else stated in this Agreement to the contrary, Independent Contractor has no independent authority to bind the Company to any contract, agreement, or other obligation in regard to Products , Services or otherwise, and all such contracts agreements or other obligations received by Independent Contractor must be promptly delivered to a designated authorized representative of the Company, who shall have sole authority to accept or whether to not accept such contract, agreement or obligation.
4.0 Method of Performing Services:
4.1 Requirements for Services Performed. Contractor will determine the method, details, and means of performing the above-described services, including the determination of the need for and hiring of assistants at the Contractor's own expense. The Company may not control, direct or otherwise supervise Contractor's assistants or employees in the performance of those services. However, the Independent Contractor's team must meet the same expectations of service set forth in this document and any licensing requirements necessary.
4.2 Additional requirements for Services to be performed.
4.2.1 Conduct. Independent Contractor agrees to follow the Company's Guidelines and represent the Company's Core Values related to internal and external customers while representing the company in the community and while working with other company representatives and Independent Contractors . The Independent Contractors will be provided a copy of Company policies and core values prior to signing this contract.
4.2.2 Supplies & Equipment. The contractor will supply all tools, equipment and supplies required to perform the services under this Agreement.
4.2.3 Reporting. Independent Contractor shall regularly report , but no less than weekly during the Term, on progress of completion of sales.
4.2.4 Best Efforts. Independent Contractor agrees to use his/her best efforts in providing services under the service agreement to maximize his/her sales activity.
5.0 Compensation:
In consideration for the services to be performed by Contractor, Corporation agrees to pay Contractor per the attached Addendum A. Based on the reporting of sales to the Company by the Independent Contractor they will be paid on a weekly basis for sales commissions they have earned.
6.0 Representations and Warranties:
The Independent Contractor hereby represents and warranties to the Company that the Independent Contractor is not subject to any written non solicitation agreements affecting Independent Contractor's Engagement with the Company. The Independent Contractor is not subject to any written confidentiality agreement that would interfere with the Independent Contractor's engagement with the Company and fulfilling set obligations as set forth with this agreement. The Independent Contractor is confirming they have brought no trade secrets , confidential business information , documents or other property from a prior employer or third party.
7.0 Indemnification and Insurance:
7.1 Indemnification:
Independent Contractor shall indemnify, defend and hold the Company, its parent, subsidiaries, affiliates, officers, members, directors, principals, trustees, agents, employees, contractors, and representatives harmless from and against any and all claim, loss, damage or expense (including reasonable attorneys' fees and costs) arising from or in connection with: Independent Contractor performance of or breach of this Agreement, including but not limited to, Independent Contractor's representations and warranties under this Agreement, any unauthorized action of Independent Contractor and fraud, embezzlement, gross negligence of intentional misconduct by Independent Contractor.
7.2 Workers Compensation:
If an Independent Contractor has subcontractors or employees, the Independent agrees to provide workers' compensation insurance for Contractor's employees and agents and agrees to hold harmless and indemnify the Company for any and all claims arising out of any injury, disability, or death of any of Contractor's employees or agents. The Independent Contractor is responsible for providing to the Company written proof of said insurance at initiation of this agreement and if a renewal period occurs during this agreement an updated copy of said proof should be provided.
7.3 Insurance:
If an Independent Contractor has subcontractors or employees, the Independent agrees to maintain a policy of insurance in the minimum amount of $1,000,000 Dollars to cover any negligent acts committed by Contractor or Contractor's employees or agents during the performance of any services provided under this agreement . The Independent Contractor further agrees to hold Company free and harmless from any and all claims arising from any such negligent act or omission. The Independent Contractor is responsible for providing to the Company written proof of said insurance at initiation of this agreement and if a renewal period occurs during this agreement an updated copy of said proof should be provided.
8.0 Conflicts of Interest:
While contracted by the Company , Independent Contractor shall not, directly or indirectly, unless approved in writing in advance by the CEO of the company, realize a personal gain or advantage from a transaction in which the Company has an interest or use information obtained in connection with Independent Contractor's engagement with the Company for Independent Contractor's personal advantage or gain or accept any offer to serve as an officer , director, partner , consultant manager with or to be employed in a technical capacity by a person or entity which does business with the Company.
9.0 Notices & Addresses:
All notices, offers, acceptances and any other acts under this Agreement (except payments) shall be in writing, and shall be sufficiently given if delivered to the addressee's in person, by Federal Express or similar receipted delivery ,or, if mailed postage prepaid, by certified mail, return receipt requests, as follows:

Each party may change the above address by written notice in accordance with this paragraph. Notices delivered personally shall be deemed communicated as of the date of actual receipt; mailed notices shall be deemed communicated as of three (3) days after the date of mailing
10.0 Attorneys' Fees:
In the event that there is a controversy or claim arising out of or relating this Agreement, or to the interpretation , breach or enforcement thereof, and any action or proceeding is commenced to enforce the provisions of this Agreement, the prevailing Party shall be entitled to reasonable attorneys' fees ,costs and expenses including, without limitation, those arising at all appellate levels.
11.0 Dispute Resolution:
If a Party has reason to believe a dispute exists in connection with the Independent Contract engagement (including this Agreement) , such Party shall give written notice to the other Party, describing the dispute. The Parties will then meet as soon as practical thereafter and shall attempt in good faith to resolve said dispute between themselves or upon mutual agreement by the intervention of an experienced mediator and upon the terms and cost allocation as may mutually be agreed upon.
12.0 Entire Agreement:
This Agreement supersedes any and all other agreements, either oral or in writing, between the parties hereto with respect to the performance of services by Contractor for Corporation and contains all of the covenants and agreements between the parties with respect to the rendering of such services in any manner whatsoever. Each party to this Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein, and that no other agreement, statement, or promise not contained in this Agreement shall be valid or binding. Any modification of this Agreement will be effective only if it is in writing signed by the party to be charged.
13.0 Partial Invalidity:
If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, the remaining provisions shall nevertheless continue in full force without being impaired or invalidated in any way.
14.0 Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the State of: South Carolina.
Independent Contractor and Company understand their prospective obligations under this Agreement.
The Parties have signed this Agreement as of the Effective Date .
Billing Information
Team members are responsible for collecting new account billing information.
Accounts without billing information will be placed on hold. Exceptions must be granted prior to the request to schedule and MUST be approved by Byron Sill or Luis Endara.

Customer Interaction/Email Requirements
Customers must use a Gmail email account for all services involving Google interactive security.
The customer or a designated surrogate must be present at the time of installation and have access to the customer’s Gmail account to complete Google Home service setup.
If neither the customer nor the surrogate has access to the required email, the installation will be rescheduled, and a $50 rescheduling fee will be applied to the account.

Rapid Pay
Rapid Pay service is available for an additional fee, for new account cut-ins.
To qualify for Rapid Pay:
The installation must have been completed with signals successfully sent to ADT.
A satisfactory Quality Assurance (QA) call must be conducted.
Payments will be confirmed within 2 hours of the installation (if requirements are met).
Installations completed after 6 PM Monday-Friday or during weekends will be paid on the following business day.
1VS reserves the right to refuse Rapid Pay service for any reason.

Service Requests
All service requests must go through the main office to ensure a smooth customer experience, proper expectations, and accurate service records.
This requirement ensures better service, seamless operations, and timely responses for all customer and team member interactions.

Chargeback Terms and Conditions
At times, we may encounter bad accounts, and to recover necessary losses, a chargeback is required. 1VS takes great care in managing attrition and ensuring that accounts remain active. However, in cases where an account defaults on its first payment or fails to meet ADT's funding guidelines, we must apply a chargeback to recover the associated costs.
- First Payment Defaults and Unfundable Accounts will be charged back at 100% during the next funding cycle. This clawback will come from funding, not the holdback account.
- Accounts that experience normal attrition over time will be forgiven, provided that your holdback fund is greater than 50%.
This helps maintain the financial health of the business while ensuring a fair process for managing account losses.

Compliance Policy
To ensure all Independent Contractors operating under 1Vision Security meet the legal and regulatory requirements mandated by state-specific alarm boards and licensing authorities. This covenant outlines the company's approach to advancing upfront costs for compliance-related matters and the reimbursement process through payroll deductions.
1Vision Security is committed to supporting its Independent Contractors by covering upfront costs associated with required alarm board compliance in any state in which they are authorized to operate on the company’s behalf. These compliance requirements include, but are not limited to:
- State registration and licensing fees
- Background check expenses
- Mandatory continuing education courses
- Renewal fees
- Any other required compliance-related costs
Advance Payment & Reimbursements
1. Company Advance: 1Vision Security will pay the aforementioned costs upfront directly to the regulatory agencies or through approved vendors to ensure timely compliance and uninterrupted service delivery.
2. Reimbursement Method:
These costs will be reimbursed by the contractor through one or both of the following methods:
- Deduction from the Company Holdback Fund: Funds held in reserve by 1Vision Security may be used to recover these expenses.
- Payroll/Commission Deduction: In the absence of a sufficient holdback balance, deductions will be made from the contractor’s future commission payments until the full amount is recovered.
Should a contractor terminate their relationship with 1Vision Security before the reimbursement is complete, the remaining balance will be due immediately and may be deducted from any final payout or legally pursued if necessary.
Contractors are responsible for maintaining compliance once fees have been paid and are expected to cooperate with the submission of required documentation or attendance of continuing education programs.
1Vision Security Background Authorization Form
CONFIDENTIAL INFORMATION: Recipient agrees and understands that information provided during the course of communication with 1Vision Security staff is to be considered confidential proprietary.
I, authorize and give consent for the above named organization to obtain information regarding my background. This includes (but not limited to):
- Local & National Criminal background records/information
- All 50 State Sex Offender Registries
- Full Address Trace
- Social Security Verification
I, the undersigned, authorize this information to be obtained in connection with my employment. Any person, firm or organization providing information or records in accordance with this authorization is released from any and all claims of liability for compliance. Such information will be held in confidence in accordance with the organization’s guidelines.
By signing this document, I am providing the above named Organization my consent for an initial background check as well as any subsequent background checks deemed necessary throughout the length of my employment assignment with this Organization.
I certify that my answers are true and complete to the best of my knowledge. If this application leads to employment, I understand that false or misleading information in my application or interview may result in my release.
ACH / Direct Deposit Form for Business Accounts
I hereby authorize 1Vision Security to initiate automatic deposits to my account at the financial institution named below. I also authorize 1Vision Security to make withdrawals from this account in the event that a credit entry is made in error.
Further, I agree not to hold 1Vision Security responsible for any delay or loss of funds due to incorrect or incomplete information supplied by me or by my financial institution or due to an error on the part of my financial institution in depositing funds to my account.
This agreement will remain in effect until 1Vision Security receives a written notice of cancellation from me or my financial institution, or until I submit a new direct deposit form to the Payroll Department.
